1. Acceptance of Terms

By accessing or using AdaptNX (available at adaptnx.com and related subdomains), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease using the service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and AdaptNX ("we," "us," or "our"). Your continued use of AdaptNX following any changes to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

AdaptNX is an AI-powered adaptive nutrition platform that analyzes user-submitted health metrics — including Heart Rate Variability (HRV), sleep quality and duration, stress levels, resting heart rate, step counts, and blood test results — to generate personalized nutrition plans and meal suggestions.

The service includes, but is not limited to:

• AI-generated daily and weekly nutrition plans adapted to your physiological state
• Meal logging, pantry management, and recipe recommendations
• Health trend analysis and progress reports
• Integration with wearable devices (Oura, Whoop, Fitbit, Huawei Health)
• Screenshot-based metric extraction via AI vision analysis
• Blood test result interpretation to optimize nutritional guidance

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with or without notice.

3. User Accounts

To access AdaptNX, you must create an account by providing a valid email address and completing email-based OTP verification. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Keep your authentication credentials secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately at [email protected] of any unauthorized use of your account

You must be at least 16 years of age to create an account and use AdaptNX. By registering, you represent and warrant that you meet this age requirement.

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or engage in fraudulent activity.

4. Health & Medical Disclaimer

IMPORTANT: AdaptNX is NOT a medical service and does NOT provide medical advice.

The content, nutrition plans, analyses, and recommendations provided by AdaptNX are for informational and general wellness purposes only. Nothing on AdaptNX constitutes, or should be construed as, medical advice, diagnosis, treatment, or a substitute for professional medical advice from a qualified healthcare provider.

Before making any significant changes to your diet, nutrition, or lifestyle — particularly if you have a pre-existing medical condition, are pregnant, nursing, taking medications, or have been diagnosed with any health condition — you should consult with a licensed physician, registered dietitian, or other qualified healthcare professional.

AdaptNX, its owners, employees, contractors, and affiliates expressly disclaim all liability for any adverse health outcomes, injuries, or damages arising from your reliance on information or recommendations provided through the service.

5. AI-Generated Content

Nutrition plans, meal suggestions, food analyses, health trend interpretations, and other recommendations provided by AdaptNX are generated by artificial intelligence, specifically Google Gemini AI models. As such:

• AI-generated content may contain errors, inaccuracies, or omissions
• Nutritional values, calorie counts, and macro estimates are approximations
• Blood test interpretations are informational only, not diagnostic
• Recommendations are based on statistical models and may not account for your unique medical history

By using AdaptNX, you acknowledge that you assume full responsibility for any decisions you make based on AI-generated content. We strongly encourage you to cross-reference AI-generated nutrition plans with guidance from a qualified nutrition professional.

6. Health Data & Privacy

Your privacy is of utmost importance to us. Our collection and use of personal and health data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using AdaptNX, you consent to:

• Collection and storage of health metrics you provide or that are synced via wearable integrations
• Processing of your health data by AI (Google Gemini) to generate personalized nutrition plans
• Encryption of sensitive health data (including blood test results) at rest using industry-standard Fernet symmetric encryption
• Storage of your data on servers located in the European Union (Oracle Cloud, Stockholm region)

You may withdraw consent for AI processing at any time by deleting your account and associated data. Please refer to our Privacy Policy for full details on data handling, retention, and your rights.

7. Intellectual Property

All content, features, and functionality of AdaptNX — including but not limited to the software, algorithms, source code, user interface design, graphics, logos, trademarks, trade names, text, and the overall "look and feel" of the platform — are owned by AdaptNX and are protected by copyright, trademark, trade secret, and other intellectual property laws.

You expressly agree NOT to:

• Copy, reproduce, or duplicate any portion of AdaptNX without written permission
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any software component
• Redistribute, sublicense, sell, or transfer access to any part of AdaptNX
• Create derivative works based on AdaptNX content or algorithms
• Remove or alter any proprietary notices or labels on the service
• Use AdaptNX branding, logos, or trademarks without our express written permission

8. User Content

You retain full ownership of all personal health data and content you submit to AdaptNX, including health metrics, meal logs, food photos, blood test results, and other personal information ("User Content").

By submitting User Content, you grant AdaptNX a limited, non-exclusive, royalty-free license to access, process, store, and use your User Content solely for the purpose of:

• Delivering the AdaptNX service to you
• Generating personalized nutrition plans and analyses
• Improving the quality and accuracy of our AI models (in anonymized, aggregated form only)

This license terminates when you delete your account or the relevant data. We will not sell, rent, or share your identifiable health data with third parties for commercial purposes.

9. Prohibited Uses

You agree not to use AdaptNX for any of the following purposes:

• Automated scraping, crawling, or harvesting of any content or data from the platform
• Reverse engineering, decompiling, or attempting to access underlying source code or algorithms
• Reselling, redistributing, or offering AdaptNX as part of a competing service
• Uploading malware, viruses, or other malicious code
• Attempting to gain unauthorized access to other users' accounts or data
• Using the service in any manner that could overburden, damage, or impair the platform
• Submitting false or misleading health data to manipulate AI outputs
• Any unlawful, fraudulent, or deceptive purpose

Violation of these prohibitions may result in immediate account termination and, where applicable, legal action.

10. Third-Party Services

AdaptNX integrates with and relies on third-party services to deliver its functionality. By using AdaptNX, you acknowledge that your use of the platform may involve interaction with the following third parties, each governed by their own terms of service and privacy policies:

• Google Gemini AI — powers AI-generated nutrition plans and image analysis (subject to Google's Terms of Service and Privacy Policy)
• Unsplash — provides food and recipe imagery (subject to Unsplash Terms)
• Resend — handles transactional email delivery including OTP codes (subject to Resend's Terms)
• Cloudflare — provides DNS, CDN, and SSL/TLS services (subject to Cloudflare's Terms)
• Oura, Whoop, Fitbit, Huawei Health — optional wearable integrations (subject to each provider's Terms)

AdaptNX is not responsible for the practices, content, or policies of these third-party services. We encourage you to review their respective terms and privacy policies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADAPTNX, ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Adverse health outcomes arising from following AI-generated nutrition recommendations
• Service interruptions, data loss, or unauthorized access to your data
• Errors or inaccuracies in AI-generated content

IN NO EVENT SHALL ADAPTNX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ADAPTNX IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless AdaptNX and its owners, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to AdaptNX
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your submission of inaccurate or misleading health data
• Any claim by a third party arising from your use of the service

13. Termination

Either party may terminate this agreement at any time:

• By you: You may delete your account at any time through the account settings page or by contacting [email protected]
• By us: We may suspend or terminate your account immediately, without prior notice, if we determine you have violated these Terms

Upon termination of your account at your request, we will permanently delete all of your personal data and health records within 30 days, unless we are required by law to retain certain information. Please refer to our Privacy Policy for full details on data deletion.

Provisions of these Terms that by their nature should survive termination (including Sections 7, 11, 12, and 17) shall survive any termination of this agreement.

14. GDPR Rights (EU Users)

If you are located in the European Economic Area (EEA) or the United Kingdom, your personal data is processed in accordance with the General Data Protection Regulation (GDPR) and applicable national data protection laws. You have the following rights:

• Right of Access (Art. 15 GDPR): You may request a copy of the personal data we hold about you
• Right to Rectification (Art. 16 GDPR): You may request correction of inaccurate or incomplete data
• Right to Erasure (Art. 17 GDPR): You may request deletion of your personal data ("right to be forgotten")
• Right to Data Portability (Art. 20 GDPR): You may request your data in a structured, machine-readable format
• Right to Restriction (Art. 18 GDPR): You may request that we restrict processing of your data under certain circumstances
• Right to Object (Art. 21 GDPR): You may object to processing of your personal data for certain purposes
• Right to Withdraw Consent: Where processing is based on consent, you may withdraw it at any time without affecting the lawfulness of prior processing
• Right to Lodge a Complaint: You have the right to lodge a complaint with your local data protection supervisory authority

15. US Privacy Rights (CCPA and State Laws)

If you are a resident of California or other US states with applicable consumer privacy laws (including the California Consumer Privacy Act as amended by CPRA, Virginia CDPA, Colorado CPA, and others), you have the following rights:

• Right to Know: You may request disclosure of the categories and specific pieces of personal information we have collected about you
• Right to Delete: You may request deletion of your personal information, subject to certain exceptions
• Right to Opt-Out of Sale: We do NOT sell, rent, or trade your personal data to third parties for monetary consideration. You have no reason to opt out, but the right exists
• Right to Non-Discrimination: We will not discriminate against you for exercising any of your privacy rights
• Right to Correct: You may request correction of inaccurate personal information we maintain about you

16. Additional US User Protections

In addition to the CCPA/CPRA rights described in Section 15, the following protections apply to US-based users:

16.1 Washington My Health My Data Act (MHMDA)

If you are a Washington State resident, the Washington My Health My Data Act provides you with additional rights over your consumer health data. AdaptNX collects health data (including HRV, sleep, stress, blood tests, weight, nutrition, and body composition data) solely to provide personalized nutrition recommendations. Health data is processed ephemerally by Google Gemini AI for plan generation. You may withdraw consent to health data processing at any time by deleting your account. We do not use geofencing or combine location data with health data. Full details are provided in our Privacy Policy, Section 9.

16.2 FTC Health Breach Notification

In compliance with the FTC Health Breach Notification Rule, we commit to notifying all affected users and the Federal Trade Commission within 60 days of a confirmed breach of unsecured personally identifiable health information. If a breach affects 500 or more individuals, we will also notify prominent media outlets serving the affected area.

16.3 Do Not Sell My Personal Information

AdaptNX does not sell, rent, or share your personal information for cross-context behavioral advertising. We do not participate in data broker networks.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of AdaptNX shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. The arbitration shall take place in Delaware, or remotely by mutual agreement.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of intellectual property or protect confidential information.

EU users retain the right to bring claims before courts in their country of habitual residence and to rely on mandatory consumer protection provisions of their local law, as provided under applicable EU regulations.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Updating the "Last updated" date at the top of this page
• Sending an email notification to the address associated with your account
• Displaying a prominent notice within the AdaptNX application

Your continued use of AdaptNX after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the service and may request account deletion.
